Priamit Enterprises Limited v Attorney General (Civil Suit 516 of 1996) [1998] UGHCCD 1 (2 July 1998) Plaintiff cannot sue the government for debts of a separate limited liability company absent statutory obligation or pleaded divestiture. Public enterprise divestiture (PERD) – s.23 – permissive use of proceeds of sale to pay debts of the specific enterprise, not a blanket government liability. Company law – separate legal personality – limited liability company remains liable for its own debts; government not automatically liable. Civil procedure – preliminary objection – striking out plaint for suing wrong party when cause of action not disclosed.
