Plaintiff cannot sue the government for debts of a separate limited liability company absent statutory obligation or pleaded divestiture.
Public enterprise divestiture (PERD) – s.23 – permissive use of proceeds of sale to pay debts of the specific enterprise, not a blanket government liability. Company law – separate legal personality – limited liability company remains liable for its own debts; government not automatically liable. Civil procedure – preliminary objection – striking out plaint for suing wrong party when cause of action not disclosed. Insolvency/liquidation procedure – creditors must lodge claims with liquidators; failure may preclude claim against government.
